Partners Academy, operated by KAI Holdings Ltd, may allow independent instructors, teachers, trainers, consultants, industry professionals and guest speakers ("Independent Instructors") to create, publish, promote and deliver educational courses, training programmes, webinars, workshops and other learning materials through our platform.

4A.1 Independent Instructor Status

Independent Instructors are third-party content providers and are not employees, agents, partners or representatives of KAI Holdings Ltd unless expressly stated otherwise.

The views, opinions, advice, recommendations and teaching methods expressed by Independent Instructors are their own and do not necessarily represent those of Partners Academy or KAI Holdings Ltd.

4A.2 Course Content and Quality

Independent Instructors are responsible for preparing their course materials, maintaining appropriate professional standards, ensuring the accuracy of their statements and complying with applicable laws, regulations and intellectual property requirements.

Although Partners Academy may review, approve or moderate third-party courses, publication on our platform does not constitute an endorsement, independent verification or guarantee of the accuracy, quality, completeness or effectiveness of the material.

We do not guarantee that an Independent Instructor possesses any particular qualification, accreditation, professional licence or level of experience unless expressly verified and stated by Partners Academy.

4A.3 Educational and Commercial Outcomes

We do not guarantee that completing a course delivered by an Independent Instructor will result in employment, professional accreditation, increased income, business growth, successful marketing campaigns or any particular commercial outcome.

Students should independently evaluate any business, financial, marketing or professional recommendations before acting upon them.

4A.4 Complaints and Disputes

If a student believes that an Independent Instructor has provided inaccurate, misleading, inappropriate or unsatisfactory course content, they should contact Partners Academy at help@partners.academy.

We may investigate complaints, request corrections, restrict access to materials, remove courses or suspend instructors where reasonably appropriate.

Where an Independent Instructor contracts directly with a student, the instructor may be responsible for fulfilling their own contractual obligations, subject to the terms clearly disclosed before purchase.

Where KAI Holdings Ltd is the contracting supplier of a course or service, we remain responsible for fulfilling our own contractual obligations and any duties imposed by applicable consumer protection law.

4A.5 Limitation of Responsibility

To the extent permitted by law, KAI Holdings Ltd is not responsible for the independent personal opinions, unsupported commercial predictions or unauthorised representations made by Independent Instructors outside the scope of services contractually provided by Partners Academy.

We do not accept responsibility for independent business arrangements entered into between students and instructors outside the Partners Academy platform, except where liability arises from our own acts, omissions or legal obligations.

Nothing in this section excludes or restricts any statutory consumer rights, liability for our own breach of contract, or any other liability that cannot lawfully be excluded.

4A.6 Removal of Instructors and Courses

Partners Academy reserves the right to review, suspend or remove Independent Instructors and their course materials where there are reasonable grounds to believe that the content is unlawful, misleading, infringes intellectual property rights, breaches our platform rules or presents a material risk to students.

If a purchased course becomes unavailable, we will provide any appropriate alternative, refund or other remedy required by the applicable contract and consumer law.

Independent instructors must use student information only for authorised purposes and must comply with applicable data protection requirements.

They must not use student data obtained through Partners Academy for unrelated marketing, resale, unauthorised contact or other independent purposes without an appropriate lawful basis.

Depending on the arrangements, an instructor may act as a processor on our behalf or as an independent data controller. Where an instructor acts independently, we will provide appropriate information about that arrangement.

We require appropriate contractual and organisational safeguards where instructors process personal information on our behalf.

We may disclose information in connection with a genuine business restructuring, acquisition or transfer, subject to applicable legal requirements and appropriate protections.

8. International Data Transfers

Partners Academy may serve members and work with service providers located outside the United Kingdom.

Where personal information is transferred internationally, we will use a lawful transfer mechanism where required.

Depending on the destination and circumstances, this may include UK adequacy regulations, the UK International Data Transfer Agreement, the UK Addendum to standard contractual clauses or another legally recognised safeguard.

Where required, we will assess the risks associated with the transfer and implement appropriate supplementary protections.

You may contact us for further information about the safeguards relevant to your personal information.

13. Automated Processing and Personalisation

Partners Academy may use automated processes to record course progress, calculate assessment scores, issue completion certificates, manage membership permissions and recommend relevant educational content.

These processes are intended to support the operation of our learning platform.

We do not intend to make decisions based solely on automated processing that produce legal or similarly significant effects on individuals without implementing the safeguards required by applicable law.

If we introduce such processing, we will provide additional information and applicable rights before it takes place.

14. Marketing Preferences

You can choose whether to receive promotional emails from Partners Academy, subject to applicable marketing laws.

Where required, we will obtain your consent before sending marketing communications.

You can unsubscribe using the link provided in marketing emails or by contacting us.

16. External Websites and Third-Party Services

Our website may contain links to external websites, affiliate networks, social media platforms, payment providers and other services.

Those organisations may independently collect and process personal information.

We encourage users to review their privacy policies before providing information to them.

This Privacy Policy does not govern the independent processing activities of third-party websites merely because they are linked from Partners Academy.

17. Affiliate Offers and Commercial Relationships

Partners Academy may provide access to affiliate programmes, business opportunities, merchant offers and promotional partnerships.

Where you choose to visit or register with a third-party affiliate programme, that organisation may collect personal information under its own privacy policy.

We do not automatically transfer your private account information to an external affiliate network merely because you view an offer on our platform.

Where information is shared with a third party to facilitate a requested introduction or service, we will identify an appropriate lawful basis and provide relevant information about the sharing.

18. Awards and Professional Recognition

Where Partners Academy operates awards, nominations, professional recognition programmes or member achievements, we may process information about nominees, participants, judges and winners.

This may include names, business details, professional achievements, nomination submissions and voting information.

Information about winners or shortlisted nominees may be published where this is clearly explained in the relevant awards rules and supported by an appropriate lawful basis.

We will take reasonable steps to avoid publishing unnecessary private personal information.

Last updated: 31 October 2026

1. Introduction

This Earnings and Income Disclaimer applies to all educational content, courses, training programmes, webinars, workshops, consultancy services, community discussions, business opportunities and promotional materials made available through Partners Academy.

Partners Academy is operated by KAI Holdings Ltd, a company registered in England and Wales.

Our aim is to provide practical education, professional development and industry knowledge relating to affiliate marketing, influencer marketing, partnership marketing, digital marketing and associated business activities.

However, we do not guarantee that any person or business will earn money, increase revenue, achieve profitability or obtain any particular financial or commercial result from using our services.

2. No Guarantee of Earnings or Income

Any information provided by Partners Academy is intended for educational and informational purposes.

We make no promise, representation or guarantee that purchasing a course, becoming a member, following a training programme, attending an event or implementing any strategy discussed on our platform will result in financial success.

In particular, we do not guarantee:

Any minimum or specific level of earnings.
Any particular affiliate commission income.
Increased sales, revenue or profit.
Successful acceptance into affiliate programmes.
Approval by affiliate networks, merchants or advertisers.
Improved conversion rates or customer acquisition costs.
Specific returns on advertising expenditure.
Employment, freelance contracts or consultancy opportunities.
Long-term business sustainability or profitability.
Recovery of money spent on courses, subscriptions, advertising or business activities.

Affiliate marketing and other digital business activities involve commercial risk, and it is possible to lose money.

3. Individual Results Will Vary

Financial and commercial results depend on numerous factors, many of which are outside the control of Partners Academy.

These may include:

Your existing knowledge, experience and professional skills.
The time, effort and resources you commit.
Your business model and chosen market.
Competition and changing market conditions.
Advertising expenditure and marketing effectiveness.
Product pricing, demand and conversion performance.
Merchant and affiliate network terms.
Commission rates, attribution rules and payment conditions.
Website performance and traffic quality.
Economic conditions and regulatory developments.
Third-party platform policies and algorithm changes.
Your ability to implement and maintain appropriate business strategies.

Strategies that are effective for one individual or organisation may not produce the same results for another.

Past performance is not a reliable guarantee of future results.

4. Earnings Examples and Case Studies

Partners Academy may publish examples, case studies, business scenarios, commission calculations, revenue figures, campaign performance information and other illustrations of potential commercial outcomes.

Such material may be based on historical experience, actual campaigns, hypothetical scenarios or educational examples.

Where practicable, we will identify the nature of the example and distinguish verified historical results from hypothetical projections.

Any figures presented should not be interpreted as typical, average, expected or guaranteed results unless we expressly identify them as such and have appropriate evidence to support that representation.

Where relevant, we will distinguish between gross revenue, affiliate commissions, business turnover, net profit and other financial measures.

Revenue figures do not necessarily represent profit and may exclude expenses such as advertising costs, software subscriptions, staff costs, refunds, taxes and other operating expenditure.

We will not knowingly present exceptional results as representative of what an ordinary student or member can reasonably expect to achieve.

5. Testimonials and Success Stories

We may publish testimonials, reviews and success stories from students, members, instructors, clients or other industry participants.

These accounts reflect the experiences of the individuals or organisations concerned and do not guarantee that other users will achieve comparable results.

Where testimonials contain financial or performance claims, we will take reasonable steps to ensure that the claims are genuine, appropriately substantiated and not misleading.

We will disclose relevant commercial relationships, incentives or other material connections where required by law.

Testimonials must not be interpreted as promises of future earnings.

6. Independent Instructors and Guest Experts

Partners Academy may host educational content created or delivered by independent instructors, trainers, consultants, industry experts and guest speakers.

These individuals may discuss their own professional experiences, marketing strategies, business achievements, income figures or commercial projections.

Independent instructors are responsible for the accuracy and substantiation of claims they make and for complying with applicable advertising, consumer protection and other legal requirements.

Statements made by independent instructors do not necessarily represent the views or recommendations of KAI Holdings Ltd.

Publication of a third-party course or webinar does not mean that Partners Academy independently guarantees the instructor's earnings claims, methods or predicted outcomes.

We may review, challenge, correct or remove content containing unsupported or misleading financial claims.

Where KAI Holdings Ltd is the contracting supplier or is otherwise legally responsible for content or services provided through the platform, nothing in this disclaimer excludes that responsibility or any applicable statutory consumer rights.

7. Affiliate Marketing Risks

Affiliate marketing involves promoting products or services and potentially receiving commissions or other compensation when qualifying actions occur.

Affiliate income is not guaranteed.

Merchants, advertisers, affiliate networks and tracking providers may impose conditions that affect commission eligibility, validation, attribution, payment timing and programme participation.

Commissions may be declined, reversed, reduced or delayed in accordance with applicable programme terms.

Affiliate programmes may change their commission structures, suspend participants or close programmes, subject to their contractual and legal obligations.

Traffic, clicks, leads and sales do not automatically result in payable commissions.

Participants should carefully review the terms of each affiliate programme before investing time or money.

8. Advertising and Business Expenditure

Some strategies discussed through Partners Academy may involve expenditure on advertising, website development, software, content production, contractors, marketing tools or other business activities.

There is no guarantee that such expenditure will generate sufficient revenue to recover the original investment.

Users should assess their own financial circumstances, available resources and tolerance for commercial risk before committing funds.

Partners Academy does not recommend spending money that you cannot reasonably afford to lose on speculative marketing activities.

Any budget examples or return-on-investment calculations are illustrative unless clearly identified as verified historical information.

9. Merchant and Advertiser Results

Partners Academy provides education for merchants, advertisers, brands and businesses seeking to establish, develop or improve affiliate and partnership marketing programmes.

We do not guarantee that implementing the techniques discussed will result in:

A particular number of recruited affiliates.
A specified increase in customers or sales.
Reduced marketing expenditure.
Improved return on investment.
Higher customer lifetime value.
Successful relationships with publishers or influencers.
Any particular level of programme profitability.

Commercial performance depends on the products, services, market conditions, programme management and other factors specific to each business.

10. Publishers, Influencers and Content Creators

Partners Academy may provide educational resources for affiliates, publishers, influencers, content creators and other marketing partners.

We do not guarantee that participants will secure commercial partnerships, receive free products, obtain sponsorships, generate audience growth or earn commissions.

Acceptance into third-party programmes is determined by the relevant merchant, advertiser, network or other programme operator.

Users remain responsible for complying with applicable advertising disclosure rules, platform policies, tax obligations and other legal requirements.

11. Memberships and Professional Networking

Membership of Partners Academy may provide access to professional networking, business introductions, member directories, training resources and commercial opportunities.

Membership does not guarantee that you will secure customers, contracts, employment, affiliate partnerships or other income-generating relationships.

Any business arrangement entered into with another member or third-party organisation should be evaluated independently.

Partners Academy does not guarantee the financial standing, performance, reliability or commercial success of independent businesses listed or introduced through the platform.

12. Consultancy and Professional Advice

Partners Academy may offer advisory sessions, mentoring and consultancy relating to affiliate marketing and associated business activities.

Advice is provided using the information available at the time and may involve professional judgement, assumptions and recommendations.

Unless expressly agreed in a separate written contract, advisory services do not guarantee specific commercial outcomes.

Any agreed consultancy deliverables, service standards and contractual obligations remain subject to the relevant service agreement and applicable law.

13. Educational Information Is Not Regulated Financial Advice

Information provided through Partners Academy is not intended to constitute personalised investment advice, regulated financial advice, legal advice or tax advice.

Discussion of business revenue, commissions, marketing budgets or commercial profitability should not be interpreted as a recommendation to purchase a particular financial product or make a regulated investment.

Users should seek advice from appropriately qualified professionals where their circumstances require it.

14. Accuracy and Currency of Information

We aim to provide useful, accurate and relevant educational information.

However, affiliate networks, advertising platforms, technology providers, commission structures, regulations and commercial practices may change.

Information that was accurate when originally published may become outdated.

We may update or correct content where appropriate, but we do not guarantee that all historical educational materials will remain current indefinitely.

Nothing in this section removes any obligation to provide digital content or services that meet the standards required by applicable consumer law.

15. No Business Relationship Created

Participation in Partners Academy does not, by itself, establish an employment relationship, agency relationship, franchise, partnership or joint venture between a user and KAI Holdings Ltd.

We do not appoint members as authorised representatives of Partners Academy merely because they complete training or receive certificates.

Any separate commercial relationship must be expressly agreed in writing.

16. Your Responsibility for Business Decisions

You are responsible for deciding whether to apply any information, technique or strategy learned through Partners Academy.

Before making significant commercial decisions, you should consider the relevant costs, risks, contractual terms and legal requirements.

We encourage users to carry out independent research, maintain appropriate records and assess results using reliable financial and performance data.

Educational material should be treated as a resource to inform your decisions, not as a substitute for independent judgement or professional advice.

17. Advertising Standards and Earnings Claims

Partners Academy seeks to comply with applicable UK advertising and consumer protection requirements, including relevant rules concerning misleading advertising, testimonials, endorsements and financial performance claims.

We expect instructors, contributors and commercial partners using our platform to comply with applicable legal and advertising standards.

We do not permit knowingly false, deceptive or unsubstantiated claims suggesting that students or members are guaranteed to achieve specific financial results.

If you identify a potentially misleading earnings claim on Partners Academy, please report it to help@partners.academy.

18. Limitation of Liability

To the extent permitted by applicable law, KAI Holdings Ltd does not accept liability solely because a user fails to achieve an anticipated financial or commercial outcome after applying educational information provided through Partners Academy.

We are not responsible for independent commercial decisions, speculative investments or third-party business arrangements entered into by users, except where liability arises from our own breach of contract, negligence, misleading representations or other legal obligations.

Nothing in this disclaimer excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or restricted.

Nothing in this disclaimer affects statutory consumer rights, including rights relating to digital content and services.

19. Relationship With Our Terms and Conditions

This Earnings and Income Disclaimer should be read alongside the Partners Academy Terms and Conditions, Privacy Policy and other applicable policies.

Where a specific written service agreement provides express contractual commitments, those commitments will apply according to their terms and applicable law.

This disclaimer does not override any legal rights or contractual obligations that cannot lawfully be excluded.

20. Changes to This Disclaimer

We may update this disclaimer to reflect changes in our educational services, business activities, legal obligations or industry practices.

The current version will be published on our website with the latest revision date.

5.2 Fourteen-Day Cancellation Rights

Where a statutory 14-day cancellation right applies, you may cancel your eligible digital course purchase during that period unless the right has lawfully been lost.

If you request immediate access to digital content during the cancellation period, we may ask you to:

Give your express consent to the immediate supply of the digital content.
Acknowledge that you will lose the statutory right to cancel once supply of that digital content begins.

We will provide the required confirmation of your agreement on a durable medium, such as email.

Where all applicable legal requirements are satisfied and supply of the digital content has begun, the statutory change-of-mind cancellation right may be lost.

Merely purchasing a course, accepting general Terms and Conditions or receiving a login does not, by itself, establish that these requirements have been satisfied.

5.3 Where Immediate Access Has Not Been Properly Authorised

If the required consent, acknowledgement or contractual confirmation has not been obtained, you may retain your statutory cancellation rights despite digital content having been supplied.

We will not impose charges or refuse a statutory refund where applicable law prohibits us from doing so.

5.4 Change-of-Mind Requests Outside Statutory Rights

Once the statutory cancellation period has expired, or a cancellation right has lawfully been lost following the start of digital content supply, we do not generally provide discretionary refunds solely because:

You have changed your mind.
You no longer have time to study.
You decide the subject is no longer relevant to your interests.
You do not complete the course.
You expected a particular commercial or financial outcome.
You purchased the course but later found similar information elsewhere.

We may nevertheless consider exceptional circumstances individually and may offer a discretionary refund, credit or alternative arrangement.

This section does not affect any legal remedy for faulty, misdescribed or non-conforming digital content.

6. Faulty, Inaccessible or Misdescribed Courses

We aim to ensure that courses supplied by KAI Holdings Ltd meet their published descriptions and applicable legal requirements.

If a purchased course is materially different from its description, contains a qualifying defect or cannot be accessed due to a problem for which we are responsible, please contact us.

Depending on the circumstances and applicable law, we may provide:

Technical assistance to restore access.
Correction or replacement of affected materials.
An appropriate alternative course where you agree.
A partial price reduction.
A full refund where required by law.

We will not require you to accept store credit instead of a refund to which you are legally entitled.

Remedies will be provided within the timescales required by applicable law.

7. Courses Delivered by Independent Instructors

Partners Academy may host courses created or delivered by independent teachers, trainers, consultants and industry professionals.

Where KAI Holdings Ltd sells a course directly to you, we remain responsible for our contractual obligations and any applicable statutory consumer rights, regardless of whether an independent instructor created or delivered the content.

Independent instructors are expected to provide accurate course descriptions, appropriate educational materials and services consistent with their published commitments.

Where an instructor fails to deliver a course or materially misrepresents its contents, we may investigate and provide an appropriate remedy in accordance with the contract and applicable law.

Where a course is sold directly by an independent instructor under a separate contract, the identity of the contracting supplier and applicable refund arrangements will be clearly disclosed before purchase.

We do not permit an independent instructor's refund conditions to override statutory consumer rights.

8. Paid Community Memberships

8.1 Recurring Subscriptions

Partners Academy may offer paid community memberships billed on a recurring basis.

Before you subscribe, we will display the subscription price, billing frequency, applicable minimum commitment, renewal arrangements and cancellation procedure.

Unless otherwise stated, recurring memberships renew automatically at the end of each billing period until cancelled.

8.2 How to Cancel a Membership

You may cancel future subscription renewals through the subscription management controls provided in your account or by contacting help@partners.academy.

We will not require you to telephone us or provide an unnecessary explanation in order to cancel.

Cancellation will stop future recurring charges, subject to any clearly disclosed minimum contractual commitment and applicable law.

We will provide confirmation when your cancellation has been processed.

8.3 Access After Cancellation

Unless a statutory cancellation right, refund remedy or other applicable agreement requires otherwise, cancelling an ordinary recurring membership will normally allow you to continue using the paid membership features until the end of the billing period already paid for.

After that date, your account may revert to a free membership with reduced access.

Individually purchased courses will not automatically be cancelled merely because you end your community membership, unless the relevant course was expressly included as a subscription-only benefit.

8.4 Membership Refunds

Where a statutory cooling-off right applies, we will honour it.

If you expressly request that membership services begin during the statutory cancellation period and subsequently exercise a valid right to cancel, we may be entitled to charge a reasonable and proportionate amount for services already provided, where the law permits and the required information and consent arrangements have been satisfied.

Where services have been fully performed during the cancellation period, the cancellation right may be lost only if the applicable legal requirements have been met.

Outside applicable statutory rights and contractual remedies, subscription fees already paid are generally not refunded solely because you choose to stop using the membership before the end of a billing period.

We will consider refunds or appropriate price reductions where services have not been supplied as agreed or where required by law.

8.5 Annual Memberships

Where annual memberships are offered, the full annual price and renewal arrangements will be disclosed before purchase.

Cancellation of an annual membership will normally prevent the next renewal, while access continues until the end of the paid annual term.

Any right to an earlier refund, partial refund or termination will depend on the applicable statutory rights, contract and circumstances.

9. Subscription Renewals and Price Changes

We will clearly explain recurring payment obligations before you subscribe.

We will not impose undisclosed recurring charges.

Where a subscription price or material contractual term changes, we will provide appropriate advance notice and any cancellation rights required by law.

We will not retrospectively increase the price of a billing period that has already been paid for.

Any renewal reminders or other notices required by applicable law will be provided.

10. Webinars and Online Events

10.1 Recorded Webinars

Recorded webinars and other pre-recorded educational materials supplied as digital content are generally subject to the digital content cancellation provisions described in this policy.

10.2 Live Webinars and Workshops

Cancellation arrangements for paid live webinars and workshops will be stated before booking.

Where a statutory cancellation right applies, we will honour it. Certain bookings for leisure activities on specified dates may fall within statutory exceptions, but we will not assume that every educational webinar or workshop qualifies for such an exception.

Where no statutory or contractual refund entitlement applies, we may consider a transfer to another available session or another reasonable arrangement.

10.3 Events Cancelled by Partners Academy

If we cancel a paid event and do not provide an agreed equivalent replacement, we will offer an appropriate refund.

If an event is rescheduled, we will inform affected customers and provide the cancellation or refund options required by the applicable contract and law.

11. One-to-One Consultancy and Advisory Bookings

Partners Academy may offer individual consultancy, mentoring or advisory appointments, including sessions advertised at USD $199 per hour or another price clearly displayed at booking.

Payment may be required in advance to confirm a booking.

11.1 Customer Rescheduling and Cancellation

Subject to statutory rights, we offer the following standard appointment arrangements:

More than 48 hours before the appointment: You may cancel for a full refund or request a rescheduled appointment.
Between 24 and 48 hours before the appointment: You may request a rescheduled appointment without an additional fee, subject to availability.
Less than 24 hours before the appointment: A refund or rescheduling is not guaranteed and will be considered in light of the circumstances, costs reasonably incurred and applicable law.
Failure to attend: We may retain a reasonable amount reflecting the services reserved, costs incurred and losses caused by the missed appointment, subject to applicable law.

These are our standard commercial arrangements and do not override statutory cancellation rights or remedies.

Any cancellation charge must be fair and proportionate and must not operate as an unlawful penalty.

11.2 Statutory Cancellation Rights for Consultancy

Where an eligible consumer books consultancy online, a statutory 14-day cancellation period may apply.

If you request that the service begin during that period, we will obtain any legally required express request or consent and provide the required information.

If you validly cancel after part of the service has been supplied, a proportionate payment may be due where permitted by law.

If the service has been fully performed, the statutory cancellation right may be lost where all relevant legal conditions have been satisfied.

11.3 Cancellation by Partners Academy

If we cannot deliver a confirmed appointment, we will offer a suitable alternative date or a refund for the undelivered service.

We will not retain payment for a service that we cancel and do not provide where a refund is legally due.

12. Courses or Services Withdrawn from Sale

We may discontinue courses, replace outdated materials or remove content where necessary for legal, technical, educational or operational reasons.

Removing a course from sale does not automatically mean that existing purchasers will lose access.

Where we have made a contractual commitment to provide access for a particular period, we will honour that commitment or provide an appropriate remedy where required by law.

If a purchased course becomes permanently unavailable before the agreed access period ends, we will assess whether a replacement, price reduction or refund is appropriate.

13. Account Suspension and Termination

We may suspend or terminate accounts in accordance with our Terms and Conditions, including where there is serious fraud, unlawful activity, security abuse or a material breach of platform rules.

Any decision to withhold a refund following suspension or termination will take account of the reason for termination, the services already supplied, the contractual terms and applicable law.

We will not automatically retain all prepaid fees in circumstances where doing so would be unfair or unlawful.

Where an account is closed, we will ensure that recurring billing is appropriately addressed. We will not continue charging for a service that we have terminated without a lawful contractual basis.

14. Duplicate and Unauthorised Payments

If you believe you have been charged twice, charged an incorrect amount or billed without authorisation, please contact us promptly.

We will investigate the transaction and correct any verified billing error.

Where an unauthorised or incorrect payment has been taken, we will provide the appropriate refund or correction without unnecessary delay.

Nothing in this policy limits your rights under applicable payment services legislation or your payment provider's dispute procedures.

15. Promotional Offers, Discounts and Coupons

Courses and memberships purchased using promotional codes or discounts remain subject to applicable statutory consumer rights.

Where a refund is due, it will generally be calculated using the amount actually paid, subject to applicable law.

Promotional offers may include clearly disclosed eligibility restrictions and expiry dates.

We will not use promotional conditions to remove mandatory consumer rights.

16. Certificates, Badges and Course Completion

Course certificates and completion badges are issued according to the relevant course requirements.

Completing a course or receiving a certificate does not automatically create an additional refund entitlement.

Equally, receiving a certificate does not remove any statutory remedy that may apply because a course was faulty, misdescribed or otherwise non-compliant.

Partners Academy certificates do not represent external professional accreditation unless expressly stated.

17. How to Request a Refund

To request a refund, cancellation or billing correction, please contact:

Email: help@partners.academy

Where possible, include:

Your full name.
The email address associated with your account.
The course, membership, event or service purchased.
The order number or transaction reference.
The date of purchase.
A brief explanation of the issue, where relevant.

You do not need to provide a reason when exercising a statutory no-fault cancellation right.

We may request reasonable information to verify the transaction and prevent fraud.

We aim to acknowledge refund enquiries within three working days and resolve straightforward requests promptly. More complex cases may require additional investigation.

18. How Refunds Are Paid

Approved refunds will normally be returned to the original payment method unless you expressly agree to another lawful arrangement.

Where a statutory refund is due, we will comply with the applicable deadline, generally no later than 14 days after the relevant legal refund obligation arises.

We will not impose a refund administration fee where doing so is prohibited by law.

The time taken for funds to appear in your account may also depend on your bank or payment provider.

Where a purchase was made in a foreign currency, the amount returned to your account may be affected by your payment provider's exchange rates or charges. This does not reduce any refund amount we are legally required to pay.

19. International Customers

Partners Academy may provide services to customers in the United Kingdom and internationally.

This policy is based primarily on UK consumer protection requirements.

Customers located in other jurisdictions may benefit from additional mandatory cancellation, refund or consumer protection rights under the laws applicable to their purchases.

Nothing in this policy excludes those rights where they apply.

20. Business Purchases

Where a course, membership or service is purchased wholly or mainly for business purposes, consumer-specific cancellation rights may not apply.

Business purchases are governed by the relevant contractual terms and applicable law.

Any separate corporate training agreement, bulk licence or business services contract may contain its own cancellation and refund arrangements.

Such terms will be made available before the relevant agreement is concluded.

21. Model Cancellation Notice

If you wish to exercise a statutory right to cancel, you may send the following information to us by email or post. You are not required to use this exact wording.

To: KAI Holdings Ltd, trading as Partners Academy

Email: help@partners.academy

I hereby give notice that I cancel my contract for the following product or service:

Product or service: __________________________

Ordered on: _________________________________

Customer name: _____________________________

Customer address: ___________________________

Customer email: _____________________________

Date: ______________________________________

Where a statutory cancellation right applies, a clear cancellation statement sent within the relevant period is sufficient. You do not have to use this model notice.

22. Complaints and Disputes

If you are dissatisfied with a refund or cancellation decision, please contact us and explain your concerns.

We will review the circumstances, the relevant contractual terms and any applicable statutory rights.

We aim to resolve complaints fairly and without unnecessary delay.

Nothing in this policy prevents you from seeking assistance from a relevant consumer protection authority, payment provider, alternative dispute resolution body where applicable, or court of competent jurisdiction.

23. Relationship With Other Policies

This policy should be read alongside our:

Where this policy conflicts with mandatory legal rights, those rights take precedence.

24. Changes to This Policy

We may update this policy to reflect changes in our products, services, business practices or applicable law.

Changes will be published on our website with an updated revision date.

We will not retrospectively remove contractual or statutory refund rights relating to purchases already made.

Affiliate and Sponsorship Disclosure

Partners Academy

Last updated: 31 October 2026

1. Introduction

Partners Academy is committed to transparency, honesty and responsible commercial practices.

This Affiliate and Sponsorship Disclosure explains how we may earn revenue through affiliate marketing, sponsorships, advertising, commercial partnerships, promotional arrangements and other business relationships.

Partners Academy is operated by KAI Holdings Ltd, a company registered in England and Wales.

Our platform provides affiliate marketing education, professional training, industry resources, networking opportunities, courses, webinars, consultancy and related services.

Some of the content, recommendations, links and opportunities featured on our platform may involve commercial relationships from which we receive compensation.

We aim to identify these relationships clearly so that users can make informed decisions.

2. What Is Affiliate Marketing?

Affiliate marketing is a form of performance-based marketing in which a publisher, content creator, website operator or other promotional partner may receive compensation for referring customers, leads or other qualifying activity to a business.

For example, when you click an affiliate link on Partners Academy and subsequently make a qualifying purchase, register for a service or complete another qualifying action, we may receive a commission from the relevant merchant or affiliate network.

The amount and structure of compensation may vary depending on the advertiser, product, service, affiliate programme and applicable terms.

3. Affiliate Links and Commissions

Some links published on Partners Academy may be affiliate links.

Where you follow one of these links and complete a qualifying transaction, KAI Holdings Ltd may receive a commission, referral fee or other form of compensation.

Affiliate compensation may include:

A percentage of a qualifying sale.
A fixed amount for a qualifying purchase.
Payment for a validated lead or registration.
Recurring commissions for eligible subscriptions.
Performance-based bonuses or incentives.
Other compensation permitted by the relevant affiliate programme.

Where we receive affiliate compensation, we will make the commercial nature of the relevant link or recommendation clear to users.

Unless otherwise stated, affiliate commissions are paid by the merchant or affiliate network rather than directly by the customer.

However, we do not guarantee that prices accessed through affiliate links will be the lowest available. Users should compare prices, conditions and alternatives independently.

4. How We Identify Affiliate Content

We aim to make affiliate relationships identifiable before users interact with relevant promotional content.

Depending on the context, affiliate content may be identified using wording such as:

"Advertisement" or "Ad".
"Affiliate link".
"Contains affiliate links".
"We may earn a commission if you purchase through this link".
"Paid partnership", where appropriate.

Where content is advertising under applicable rules, we will use clear advertising identification rather than relying on ambiguous wording.

Disclosure wording will be positioned prominently and close enough to the relevant content or link to be readily understood.

We do not consider a disclosure buried solely within this policy to be sufficient for every individual affiliate promotion.

5. Sponsored Content and Paid Partnerships

Partners Academy may enter into paid commercial arrangements with merchants, advertisers, affiliate networks, technology providers, educational organisations and other businesses.

These arrangements may include:

Sponsored articles and educational resources.
Sponsored webinars and workshops.
Sponsored courses or training modules.
Paid product demonstrations.
Sponsored newsletters and email promotions.
Sponsored placements within member areas.
Paid promotional campaigns.
Sponsored awards, events and industry activities.
Commercially funded research or educational projects.

Where content is paid for, controlled by or otherwise commercially influenced by a sponsor, we will disclose that relationship clearly and prominently.

Sponsored content may be labelled "Advertisement", "Sponsored Content" or another clear description appropriate to the arrangement.

Payment for sponsorship does not automatically mean that Partners Academy independently endorses every statement, product or service promoted by the sponsor.

6. Sponsored Courses and Educational Content

Some courses, training materials, workshops or webinars may be developed with commercial support from third-party businesses.

This may include financial sponsorship, provision of software, access to technology, free products, specialist speakers or other forms of support.

Where a course or educational resource is sponsored, we will disclose the relevant commercial relationship in an appropriate and prominent manner.

Where a sponsor has editorial influence or control over content, that relationship will also be made clear.

We aim to distinguish between independent educational material and content that forms part of a commercial promotion.

Users should not assume that a product or service discussed in a sponsored course is necessarily the best or only available option.

7. Independent Instructors and Guest Speakers

Partners Academy may host educational content from independent instructors, teachers, consultants, trainers and industry experts.

These contributors may have their own affiliate relationships, sponsorship agreements, commercial interests or business affiliations.

Independent instructors are required to disclose relevant commercial relationships that could affect how their content, recommendations or endorsements are understood.

For example, an instructor recommending software in return for a commission, sponsorship payment or other material benefit must clearly disclose that relationship.

We expect instructors to comply with applicable advertising and consumer protection laws, including relevant UK advertising standards.

Partners Academy may require correction, additional disclosure or removal of content where commercial relationships have not been appropriately identified.

Independent instructors remain responsible for their own statements and commercial disclosures, subject to the contractual and legal responsibilities of KAI Holdings Ltd.

8. Product and Service Recommendations

Partners Academy may discuss or recommend affiliate networks, tracking platforms, marketing software, website services, advertising tools, educational resources and other products relevant to affiliate and digital marketing.

Some recommendations may involve affiliate commissions, referral payments, free access, complimentary products or other commercial benefits.

We aim to ensure that recommendations are presented accurately and that relevant commercial relationships are disclosed.

We do not guarantee that any recommended product or service will meet every user's requirements or produce a particular financial or commercial outcome.

Users should evaluate pricing, suitability, functionality, contractual commitments and alternative products before making a purchase.

9. Merchant Offers and Affiliate Opportunities

Partners Academy may publish affiliate programmes, merchant offers, commission opportunities, promotional campaigns and other commercial listings.

Some listings may be submitted by merchants, advertisers, networks or other third parties.

Listings may be available publicly in summary form, with additional details accessible to eligible paid members.

The inclusion of an affiliate programme or commercial opportunity does not automatically constitute an endorsement or guarantee of the advertiser, commission structure, payment reliability or expected results.

Where a merchant pays for a listing, enhanced placement, promotion or other preferential exposure, we will identify the relevant commercial arrangement clearly.

Paid placement will not be presented as an independent editorial ranking.

Merchants and networks are responsible for the accuracy of their programme terms, subject to any verification or other legal obligations applicable to Partners Academy.

10. Paid Listings and Featured Placement

Partners Academy may offer businesses the opportunity to purchase featured listings, enhanced visibility, sponsored positions or promotional exposure.

Where placement is influenced by payment or another material commercial arrangement, this will be disclosed where necessary to avoid misleading users.

Any ranking, recommendation or comparison presented as independent will not be secretly determined by undisclosed sponsorship payments.

We may apply separate editorial, relevance, quality or moderation criteria when deciding which businesses or offers to display.

11. Promotional Codes, Discounts and Special Offers

Partners Academy may publish discount codes, promotional offers, trial arrangements and other incentives provided by third-party businesses.

We may receive compensation when users redeem certain offers or complete qualifying transactions.

Offers are subject to the relevant merchant's terms, eligibility requirements, availability and expiry dates.

We do not guarantee that every advertised discount will remain available indefinitely.

Where a promotion is sponsored or involves an affiliate relationship, we will provide an appropriate disclosure.

12. Gifts, Complimentary Products and Incentives

Partners Academy or its contributors may occasionally receive complimentary products, software licences, event access, services, hospitality or other benefits from commercial organisations.

Where such benefits are relevant to a recommendation, review, endorsement or other promotional communication, we will disclose the relationship as required by applicable law.

Receiving a complimentary product does not automatically mean that we will publish a favourable review.

We aim to ensure that statements about products and services are truthful, supportable and not misleading.

13. Testimonials, Reviews and Endorsements

We may publish testimonials, reviews, success stories and endorsements relating to courses, products, instructors, services or commercial partners.

We aim to ensure that testimonials and endorsements are genuine and accurately represented.

Where a reviewer or contributor has received payment, free products, discounts or other material incentives, we will disclose the relevant connection where required.

We do not permit knowingly fabricated reviews, undisclosed paid endorsements presented as independent opinions or misleading representations of typical results.

Financial performance testimonials are also subject to our Earnings and Income Disclaimer.

14. Industry Awards and Sponsorship

Partners Academy may organise or promote industry awards, nominations, recognition programmes and professional events.

These activities may be supported by sponsors or commercial partners.

Where an award category, event or promotional activity is sponsored, we will disclose the relevant relationship.

Unless expressly stated otherwise under clearly published awards rules, sponsorship does not entitle a sponsor to select winners or influence independent judging outcomes.

Any commercial involvement in judging, nominations, eligibility or voting will be disclosed where material to participants' understanding of the awards.

15. Community and Member-Generated Content

Partners Academy provides professional community features through which members may discuss products, services, affiliate programmes, commercial opportunities and industry experiences.

Members may have independent commercial relationships with the businesses they discuss.

Members must clearly disclose relevant affiliate, sponsorship, employment or other material commercial connections when making promotional recommendations or endorsements.

Members must not present paid promotions as impartial personal recommendations.

Undisclosed advertising, misleading promotions, spam and deceptive commercial practices may result in content removal or account restrictions in accordance with our platform rules.

Statements made by members do not necessarily represent the views of Partners Academy.

16. Affiliate Tracking and Cookies

Affiliate links may use tracking technologies to attribute qualifying referrals or transactions to a publisher or promotional partner.

Depending on the programme, these technologies may include tracking identifiers, cookies, referral parameters or server-side attribution methods.

Where cookies or similar technologies are used on our website, we will comply with applicable privacy and electronic communications requirements, including consent obligations where relevant.

Third-party merchants and affiliate networks may operate their own tracking systems and privacy practices after you leave Partners Academy.

Further information is available in our Privacy Policy and Cookie Policy.

17. Commercial Relationships and Editorial Independence

Partners Academy aims to maintain a clear distinction between independent educational information and commercial advertising.

Commercial compensation may influence which sponsored opportunities are offered or promoted, but it must not be concealed where disclosure is required.

We do not guarantee that every product, service or affiliate programme featured on the platform has been independently tested or reviewed.

Where we describe content as an independent review or comparison, we aim to ensure that the description accurately reflects the review process and any material commercial influences.

18. No Guarantee of Earnings

Affiliate marketing, sponsorships and commercial partnerships can provide opportunities to generate income, but earnings are not guaranteed.

Individual results depend on numerous factors, including experience, traffic, audience quality, conversion rates, advertiser terms, market conditions and business expenditure.

Partners Academy does not guarantee that users will earn commissions, obtain sponsorships or achieve financial success by following links, purchasing recommended products or participating in featured programmes.

For more information, please read our Earnings and Income Disclaimer.

19. Third-Party Responsibility

When you follow a link to an external merchant, advertiser, affiliate network or other third-party service, you may become subject to that organisation's own terms, privacy policy and commercial arrangements.

Partners Academy does not generally control the pricing, availability, contractual terms or fulfilment of products and services sold independently by third parties.

Where KAI Holdings Ltd is itself the contracting supplier or has legal responsibility for a transaction, nothing in this disclosure excludes that responsibility.

Users should review relevant third-party terms before entering into a commercial agreement.

20. Advertising Standards and Legal Compliance

We aim to comply with applicable UK advertising and consumer protection requirements, including the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code), relevant consumer protection legislation and applicable guidance issued by the Advertising Standards Authority and Competition and Markets Authority.

Commercial communications should be clearly identifiable as advertising where required.

We expect instructors, sponsors, advertisers and members who publish promotional content through our platform to comply with applicable legal and advertising requirements.

We may remove or request changes to content that fails to meet those requirements.

21. Reporting Undisclosed Commercial Content

If you believe that content on Partners Academy contains an undisclosed affiliate relationship, misleading sponsorship, deceptive endorsement or other inappropriate commercial promotion, please contact us.

We will review credible reports and take appropriate action where necessary.

Email: help@partners.academy

22. Changes to This Disclosure

We may update this Affiliate and Sponsorship Disclosure to reflect changes in our commercial arrangements, services, advertising practices or applicable legal requirements.

The latest version will be published on our website with an updated revision date.

6. Professional Networking and Business Introductions

Partners Academy encourages legitimate professional networking between merchants, publishers, influencers, agencies and other industry participants.

Members are welcome to introduce themselves, discuss business interests, share relevant experience and explore potential collaborations.

Relevant business promotion may be permitted in designated community areas, subject to moderation and any applicable posting rules.

Members must not overwhelm discussions with advertisements, repeated promotional links or irrelevant sales messages.

Commercial posts should be clearly identified where required and must not contain misleading claims.

We may restrict promotional activity to specific groups, categories or approved listing features.

Partners Academy reserves the right to remove excessive, deceptive or inappropriate commercial content.

8. Affiliate Links and Referral Promotions

Affiliate marketing is central to the Partners Academy community, and relevant affiliate discussions are encouraged.

However, members must be transparent about commission-generating links and referral relationships.

9. Merchant Offers and Business Opportunities

Merchants, advertisers and networks may be permitted to submit affiliate offers and commercial opportunities through designated features.

Submitted information must be accurate, current and not misleading.

Where relevant, listings should clearly explain:

The business or merchant offering the programme.
The products or services promoted.
Commission structures and qualifying conditions.
Relevant affiliate network or tracking arrangements.
Geographical or eligibility restrictions.
Material exclusions or limitations.
Any stated offer expiry date.

Merchants must not deliberately conceal material programme conditions or publish fabricated performance statistics.

Partners Academy may review, reject, amend, suspend or remove listings where there are reasonable concerns about accuracy, legality, safety or compliance with platform rules.

Publication of an offer does not constitute a guarantee of its commercial performance or payment reliability.

10. Earnings Claims and Financial Representations

Members, instructors and commercial partners must not make misleading or unsupported claims about income, commissions, profits, advertising returns or business performance.

Prohibited examples include:

Promising guaranteed affiliate earnings.
Claiming that a course will make every student profitable.
Presenting exceptional earnings as typical without appropriate evidence.
Using fabricated revenue screenshots.

Relevant claims must be capable of substantiation.

Members should also review our Earnings and Income Disclaimer.

Partners Academy may suspend or remove teaching privileges where there are reasonable grounds to believe an instructor has breached these guidelines or applicable law.

12. Course Discussions and Student Conduct

AI-generated content must not be used to deceive members, impersonate real people or fabricate evidence.

Where material AI-generated content could reasonably mislead others about its authenticity or origin, appropriate disclosure should be provided.

Members remain responsible for the accuracy, legality and intellectual property compliance of content they publish, including AI-assisted content.

Automated posting, mass messaging and data harvesting are prohibited without express authorisation.

19. Reviews, Ratings and Feedback

Publish fabricated reviews.
Use multiple accounts to manipulate ratings.
Offer undisclosed incentives for positive reviews.
Threaten businesses or instructors to obtain compensation.

We may moderate reviews where there are reasonable grounds to believe they breach these guidelines or applicable law.

20. Webinars, Live Events and Workshops

Members attending live webinars, workshops and other events must behave professionally.

Participants must not deliberately disrupt sessions, harass speakers, distribute inappropriate material or misuse event communication tools.

Members must not knowingly submit false or malicious reports.

23. Moderation and Enforcement

Partners Academy may review reports and take proportionate action where there are reasonable grounds to believe these guidelines, our Terms and Conditions or applicable law have been breached.

Depending on the seriousness and circumstances, action may include:

Providing guidance or issuing a reminder.
Requesting correction or clarification.
Removing or restricting content.
Issuing a formal warning.
Temporarily restricting posting or messaging.
Suspending access to specific groups or features.
Suspending an account.

We aim to consider the context, severity, available evidence and proportionality of enforcement decisions.

We are not obliged to monitor every item of content continuously, but we will respond to reports and legal obligations as appropriate.

24. Appeals and Review of Moderation Decisions

If you believe a moderation decision was made in error, you may request a review by contacting help@partners.academy.

Please provide your account details, the decision you wish to challenge and the reasons you believe it should be reconsidered.

We will assess reasonable appeals and may uphold, modify or reverse a decision.

We may decline repeated appeals that do not provide relevant new information, subject to applicable legal requirements.

25. Member Safety and Commercial Due Diligence

Partners Academy provides opportunities for members to meet and communicate with other professionals.

However, users should exercise appropriate care when entering into business relationships.

We recommend verifying relevant company information, reviewing contractual terms, checking payment arrangements and conducting suitable due diligence before committing money or confidential information.

Membership of Partners Academy does not automatically mean that an individual or business has been independently verified, approved or endorsed.

We do not guarantee the reliability or financial standing of every community member.

Where KAI Holdings Ltd has made specific contractual commitments or has applicable legal responsibilities, those obligations remain unaffected.

26. Changes to These Guidelines

We may update these Community Guidelines to reflect changes in our services, community needs, moderation practices or legal obligations.

The latest version will be published on our website with an updated revision date.

Where changes materially affect members' rights or obligations, we will provide appropriate notice where required.

Instructor Terms and Conditions

Partners Academy

Operated by KAI Holdings Ltd

Last updated: 31 October 2026

1. Introduction and Agreement

These Instructor Terms and Conditions ("Instructor Terms") govern the relationship between KAI Holdings Ltd, trading as Partners Academy ("Partners Academy", "we", "us" or "our"), and individuals or businesses approved to provide educational content, training courses, webinars, workshops or related services through our platform ("Instructor", "you" or "your").

These Instructor Terms form a legally binding agreement when you expressly accept them as part of instructor registration or onboarding, or otherwise enter into an agreement incorporating them.

These Instructor Terms should be read alongside our general Terms and Conditions, Privacy Policy, Community Guidelines, Affiliate and Sponsorship Disclosure and any separately agreed Instructor Commercial Schedule.

Where a separately signed agreement expressly varies these Instructor Terms, the signed agreement will take precedence to the extent of the inconsistency.

2. About Partners Academy

Partners Academy is an online educational and professional networking platform offering training in affiliate marketing, influencer marketing, partnership marketing, digital marketing, business development and related professional subjects.

Our platform may allow approved independent instructors to create, publish, promote and deliver courses and other educational materials to registered students and members.

Partners Academy is operated by:

KAI Holdings Ltd

3. Independent Contractor Status

Instructors operate as independent third-party content providers and not as employees of KAI Holdings Ltd.

Nothing in these Instructor Terms is intended to create an employment relationship, worker relationship, agency, franchise, partnership or joint venture.

Instructors are responsible for managing their own business activities, subject to the terms of this agreement.

Unless separately authorised in writing, an Instructor must not:

Represent themselves as an employee or director of KAI Holdings Ltd.
Enter into contracts on behalf of Partners Academy.
Make legally binding promises on behalf of Partners Academy.
Use Partners Academy branding in a manner suggesting an employment or agency relationship.
Represent that Partners Academy guarantees their teaching methods, commercial advice or financial claims.

The legal status of the relationship will be determined by its actual circumstances and applicable law, not merely by the description used in this agreement.

4. Instructor Eligibility and Approval

Instructors must be at least 18 years old and legally entitled to enter into a binding agreement.

Applicants must provide accurate and current information about their identity, professional background, business activities, qualifications and relevant teaching experience.

Partners Academy may request reasonable evidence of identity, professional experience, qualifications, business registration or ownership of submitted materials.

We reserve the right to accept or decline instructor applications based on legitimate business, quality, legal, security or suitability considerations.

Approval as an Instructor does not guarantee that any particular course will be accepted, published, promoted or sold.

5. Instructor Accounts and Security

Instructors are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their accounts, except where caused by circumstances for which they are not responsible.

Instructors must use appropriate account security measures and notify Partners Academy promptly if they suspect unauthorised access.

Instructor accounts must not be sold, transferred or shared with unauthorised individuals.

Where an Instructor operates through a company or teaching team, additional authorised users may be permitted subject to our approval and applicable access controls.

6. Course Submission and Approval

All courses and educational materials submitted to Partners Academy may be subject to review before publication.

Submission does not guarantee acceptance.

Partners Academy may assess:

Relevance to the platform and its audience.
Accuracy and educational value.
Presentation and production quality.
Course structure and learning objectives.
Compliance with applicable law.
Intellectual property ownership and permissions.
Advertising and sponsorship disclosures.
Accuracy of qualifications and commercial claims.
Accessibility and technical compatibility.
Potential harm to students or other platform users.

We may request revisions before approving a course.

We may also reject materials that are substantially duplicated, misleading, unsuitable or inconsistent with our educational standards.

7. Minimum Educational Standards

Instructors must take reasonable care and skill when preparing and delivering educational services.

Courses must be substantially consistent with their published descriptions and stated learning objectives.

Instructors must make reasonable efforts to ensure that educational content is accurate, coherent, understandable and appropriate for its intended audience.

Course descriptions must identify material prerequisites, equipment requirements, software costs or other significant conditions that students need to know before purchasing.

Instructors must not deliberately exaggerate the educational benefits of a course or conceal material limitations.

Where a course requires regular updates to remain consistent with its description, the Instructor must fulfil any maintenance obligations expressly agreed with Partners Academy.

8. Course Materials and Delivery

Educational materials may include video lessons, written modules, presentations, downloadable documents, quizzes, assessments, exercises, webinars and other approved resources.

Instructors must ensure that submitted materials are technically suitable for the platform and meet any published submission requirements.

Instructors must not upload malicious code, unauthorised tracking technologies or content that compromises the security of the website or its users.

Partners Academy may convert, compress, format, caption or otherwise technically adapt materials where reasonably necessary to host and deliver them, without materially altering their educational meaning.

We may establish technical standards for file formats, video quality, accessibility and course organisation.

9. Course Descriptions and Representations

Instructors are responsible for ensuring that information they submit about their courses is accurate and not misleading.

This includes:

Course titles and descriptions.
Learning objectives.
Expected duration.
Difficulty level and prerequisites.
Instructor biographies and credentials.
Certificates or qualifications offered.
Included resources and support.
Any additional costs.
Claims concerning professional or commercial outcomes.

Instructors must not describe a course as accredited, officially certified or recognised by a professional body unless that status is genuine, current and properly authorised.

10. Course Ownership and Intellectual Property

Unless expressly agreed otherwise in writing, the Instructor retains ownership of the original intellectual property rights in course materials they lawfully create and submit.

By submitting materials, the Instructor grants KAI Holdings Ltd a non-exclusive, worldwide, royalty-bearing where applicable under the agreed commercial arrangements, sublicensable to necessary technical service providers, licence to host, reproduce, store, transmit, display, distribute to authorised students, technically adapt and promote those materials for the operation of Partners Academy.

This licence applies for the period during which the materials are available through Partners Academy and continues to the extent reasonably necessary to honour existing student access rights, maintain lawful records, resolve disputes and complete agreed wind-down arrangements.

Promotional use outside the ordinary marketing of the Instructor's courses, including substantial use in unrelated advertising campaigns, requires any additional permissions specified in the Instructor Commercial Schedule.

Partners Academy does not acquire ownership of an Instructor's original course content merely because it is hosted on the platform.

Ownership of content specifically commissioned or jointly developed by Partners Academy will be determined by a separate written agreement.

11. Third-Party Copyright and Permissions

Instructors warrant that they own or have obtained the necessary rights to use and license the materials they submit.

This includes rights relating to:

Videos and photographs.
Music and sound recordings.
Presentations and written materials.
Software demonstrations and screenshots.
Trademarks and company logos.
Guest appearances and recorded contributions.
Third-party research and educational resources.

Instructors must not upload pirated, unlawfully copied or otherwise infringing materials.

Where third-party licences impose restrictions, the Instructor must disclose those restrictions before publication.

Partners Academy may remove or restrict materials where there are reasonable grounds to believe that intellectual property rights have been infringed.

12. Use of Partners Academy Branding

Instructors may identify themselves as approved Partners Academy instructors while their approval remains active, subject to any brand guidelines we provide.

Instructors must not modify, misuse or register confusingly similar versions of our trademarks, logos, domain names or other branding.

Use of Partners Academy branding does not imply that an Instructor is an employee, official spokesperson or authorised contracting agent.

Permission to use our branding may be withdrawn where reasonably necessary following termination, misuse or material breach.

13. Course Pricing and Commercial Arrangements

Paid courses may be sold at prices agreed between Partners Academy and the Instructor.

The applicable commercial arrangements must be recorded in an Instructor Commercial Schedule or other written agreement.

The schedule should identify:

Approved course or service.
Retail price and currency.
Instructor revenue share or fee.
How applicable taxes are treated.
Refund and chargeback deductions.
Any approved promotional discounts.
Payment frequency and minimum payout thresholds.
Responsibility for payment processing fees.
Any agreed marketing or production costs.

Unless otherwise agreed, an Instructor has no authority to change the retail price of a course sold by KAI Holdings Ltd.

No particular level of course sales or earnings is guaranteed.

14. Instructor Revenue Share

Where revenue sharing applies, the Instructor's entitlement will be calculated according to the agreed commercial schedule.

The agreement must specify whether the revenue share is calculated using gross sales, net sales or another defined amount.

For clarity, any deductions for VAT, sales taxes, refunds, chargebacks, payment processing fees, promotional discounts or other costs must be expressly identified in the commercial schedule.

Partners Academy will not introduce undisclosed deductions from an Instructor's agreed entitlement.

Where a sale is refunded or reversed, the corresponding Instructor entitlement may be adjusted in accordance with the agreed calculation and applicable law.

Any overpayment or negative balance will be handled fairly and transparently.

15. Instructor Payments

Instructor payments will be made according to the payment schedule and method agreed in writing.

Instructors must provide accurate payment details and any tax or verification information reasonably required to process payments lawfully.

We may delay a disputed payment amount where reasonably necessary to investigate suspected fraud, refunds, chargebacks or a material breach, provided the delay is proportionate and the Instructor is informed where appropriate.

Undisputed amounts properly due will be paid in accordance with the agreed schedule.

Partners Academy may provide sales and payment statements through an instructor dashboard or other appropriate method.

16. Taxes and Financial Responsibilities

Instructors are responsible for their own income tax, corporation tax, social security contributions and other taxes arising from amounts paid to them, except where applicable law places an obligation on Partners Academy.

Instructors must provide accurate tax information where reasonably required.

VAT, sales tax, withholding tax and cross-border tax arrangements will be handled in accordance with applicable law and the agreed contractual structure.

Nothing in these Instructor Terms constitutes tax advice.

17. Refunds, Chargebacks and Student Complaints

Where KAI Holdings Ltd is the contracting supplier of a course, student refunds and cancellation rights will be administered in accordance with our Refunds and Cancellations Policy and applicable law.

Instructors agree to cooperate reasonably with investigations into course quality, access problems, misleading descriptions, intellectual property complaints and refund requests.

Where a refund results from an Instructor's material breach of these Instructor Terms, any financial adjustment or recovery from the Instructor will be determined under the agreed commercial schedule and applicable law.

Partners Academy will not automatically impose unlimited liability on an Instructor for every refund or chargeback.

Instructors must not make separate promises to students that conflict with the published purchase terms without prior written approval.

18. Student Relationships and Communications

Instructors may communicate with enrolled students through authorised Partners Academy features for legitimate teaching, assessment and course support purposes.

Instructors must treat students respectfully and professionally.

Instructors must not:

Harass or intimidate students.
Use student information for unauthorised marketing.
Pressure students into unrelated purchases.
Request unnecessary sensitive personal information.
Solicit passwords or payment credentials.
Use misleading sales tactics.
Discriminate unlawfully against students.

Instructors must promptly notify Partners Academy of serious complaints or incidents relating to their courses.

19. Student Data and Privacy

Instructors may receive limited access to student personal information where necessary to provide teaching, assessment or authorised support.

Such information may include student names, course enrolments, learning progress, assessment results, assignments and course-related communications.

Instructors must use this information only for authorised purposes and in compliance with applicable data protection legislation.

Instructors must not:

Sell or trade student information.
Export student lists without authorisation.
Add students to independent mailing lists without an appropriate lawful basis.
Use student information for unrelated advertising.
Share student information with unauthorised third parties.
Retain student data longer than lawfully necessary.

Where an Instructor processes personal information on behalf of KAI Holdings Ltd, a separate data processing agreement containing the terms required by applicable law must be entered into before that processing begins.

Where an Instructor acts as an independent data controller, the parties will identify their respective responsibilities and provide any necessary privacy information.

20. Confidentiality

Instructors must protect confidential information received through their relationship with Partners Academy.

Confidential information may include non-public business information, commercial terms, platform security details, student information, unpublished course materials and confidential communications.

Instructors must not disclose such information except where authorised, required for proper performance of their obligations or required by law.

Confidentiality obligations do not apply to information that is lawfully public, independently developed without misuse of confidential information or otherwise lawfully available without restriction.

21. Security and Incident Reporting

Instructors must use reasonable security measures when accessing Partners Academy systems and student information.

Instructors must notify Partners Academy without undue delay after becoming aware of an actual or suspected security incident involving platform credentials, student information or other data processed under this agreement.

Instructors must cooperate reasonably with incident investigation, containment and remediation.

Instructors must not independently notify affected students on behalf of KAI Holdings Ltd unless authorised or legally required to do so.

22. Earnings Claims and Business Results

Instructors must not promise guaranteed income, profits, commissions, business growth or other financial outcomes unless a specific claim is lawful, accurate and appropriately substantiated.

Any earnings examples, testimonials, performance figures or business case studies must be presented in a manner that is not misleading.

Instructors must distinguish between:

Gross revenue.
Affiliate commissions.
Business turnover.
Net profit.
Hypothetical projections.
Verified historical performance.

Material costs, limitations and commercial risks must not be concealed where their omission would make a claim misleading.

Partners Academy may request reasonable evidence supporting earnings claims and may refuse publication or remove unsupported claims.

Instructors must comply with our Earnings and Income Disclaimer and applicable advertising law.

23. Affiliate Links and Sponsorship Disclosures

Instructors must disclose relevant affiliate relationships, sponsorships, referral fees, complimentary products, paid endorsements and other material commercial interests associated with their educational content.

Where a course or lesson constitutes advertising, that fact must be made clear to students.

Instructors must not disguise advertising as independent educational advice.

Any affiliate links, sponsored recommendations or promotional codes included in course materials require compliance with our Affiliate and Sponsorship Disclosure and any applicable platform approval rules.

Partners Academy may require changes or removal of commercial promotions that are misleading, unlawful, excessive or inconsistent with the agreed educational purpose.

24. Outside Sales and Student Solicitation

Instructors may operate independent businesses and provide educational services outside Partners Academy unless a separate written agreement provides otherwise.

However, Instructors must not misuse confidential information, student data or platform access to divert transactions that they have specifically agreed to fulfil through Partners Academy.

Instructors must not falsely tell students that purchases made through Partners Academy are invalid or that they must pay again through an external website.

Any restrictions on external sales, exclusivity or promotion must be expressly agreed in writing and must be reasonable and enforceable under applicable law.

25. Course Promotion and Marketing

Partners Academy may promote approved courses through its website, email communications, social media channels, professional networks and other lawful marketing channels.

Instructors grant permission for Partners Academy to use approved course titles, descriptions, instructor names, professional biographies, photographs, excerpts and promotional assets for the ordinary marketing of their courses.

Marketing claims must accurately reflect the course and the Instructor's credentials.

Instructors may promote their Partners Academy courses independently, provided their promotional activities comply with applicable law, platform brand guidelines and agreed commercial terms.

Neither party guarantees any particular level of promotional exposure or sales unless expressly agreed.

26. Course Reviews and Ratings

Students may be permitted to submit reviews, ratings and feedback concerning courses and instructors.

Instructors must not manipulate reviews or ratings.

Prohibited conduct includes:

Creating fabricated student reviews.
Purchasing undisclosed positive reviews.
Pressuring students to remove legitimate criticism.
Threatening students who submit negative feedback.
Offering undisclosed incentives for favourable ratings.

Partners Academy may moderate reviews in accordance with applicable law and its published community rules.

Legitimate negative feedback will not be removed solely because it is unfavourable to an Instructor.

27. Webinars and Live Teaching

Where an Instructor agrees to deliver a live webinar, workshop or teaching session, the Instructor must make reasonable efforts to attend and deliver the agreed session professionally.

The parties should agree in advance on the date, duration, subject, delivery format, recording arrangements and any applicable compensation.

If an Instructor cannot attend, they must notify Partners Academy as soon as reasonably practicable.

Rescheduling, replacement delivery and financial consequences will be handled under the relevant event agreement and applicable law.

Instructors must obtain necessary permissions from guests or other participants before supplying recordings for publication.

28. Recording and Reuse of Teaching Sessions

Where live teaching sessions are recorded, the parties must agree on the permitted recording and reuse arrangements.

Unless otherwise agreed, Partners Academy may use authorised recordings to provide the relevant course, webinar replay or educational service to eligible users.

Any wider commercial reuse, sale or licensing of recordings outside the agreed purpose requires the relevant permissions.

Instructors must disclose any third-party rights or restrictions affecting recorded material.

29. Certificates and Assessments

Where a course includes quizzes, assessments, certificates or completion badges, Instructors must ensure that the relevant requirements are accurately described.

Instructors must not falsely represent that completion of a Partners Academy course provides a regulated qualification, professional licence or external accreditation.

Any claim of independent accreditation must be supported by valid evidence and approved before publication.

Partners Academy may establish platform-wide rules for certificates, assessment integrity and completion records.

30. Accessibility and Inclusive Teaching

Instructors must not unlawfully discriminate against students or other users.

Instructors must cooperate reasonably with Partners Academy in meeting applicable accessibility obligations.

Where reasonably practicable and required by the agreed course standards, this may include providing captions, readable documents, accessible presentation materials or suitable alternatives.

Instructors should avoid unnecessarily excluding students with disabilities from educational participation.

31. Prohibited Content

Instructors must not submit or publish content that:

Is unlawful, fraudulent or deliberately misleading.
Infringes intellectual property rights.
Contains malware or malicious technical instructions intended to compromise systems.
Promotes harassment, unlawful discrimination or threats.
Contains fabricated qualifications or commercial evidence.
Encourages unlawful marketing practices.
Misuses personal or confidential information.
Contains undisclosed advertising where disclosure is legally required.
Materially breaches the Partners Academy Community Guidelines.

Partners Academy may restrict or remove prohibited content in accordance with these Instructor Terms and applicable law.

32. Course Updates and Maintenance

Instructors should notify Partners Academy when they become aware of material inaccuracies or obsolete information in their published courses.

Where a course is marketed as current, regularly updated or continuously supported, the Instructor must fulfil any corresponding obligations expressly agreed.

Partners Academy may request correction of materially misleading or inaccurate content within a reasonable period.

If an Instructor fails to address a serious issue, we may temporarily suspend the affected course or take other proportionate action.

33. Platform Availability and Technical Support

Partners Academy is responsible for operating the platform in accordance with its own contractual and legal obligations.

Instructors must cooperate reasonably with technical requirements necessary for uploading, displaying and delivering course content.

We may perform maintenance, security updates and technical changes that affect course availability.

We will make reasonable efforts to minimise avoidable disruption and communicate material changes where appropriate.

34. Suspension of Instructor Privileges

Partners Academy may suspend an Instructor's ability to publish, sell or deliver courses where there are reasonable grounds to believe that:

The Instructor has materially breached these terms.
Submitted content is unlawful or seriously misleading.
Student information has been misused.
There is a credible intellectual property complaint.
The Instructor has engaged in fraud or serious misconduct.
The Instructor's account presents a material security risk.
Continued publication would create a substantial legal or consumer protection risk.

Where appropriate, we may provide notice and an opportunity to correct the issue.

Immediate protective suspension may be necessary in serious cases.

35. Termination by the Instructor

Unless a separate written agreement specifies another period, an Instructor may terminate their ongoing participation by giving 30 days' written notice to help@partners.academy.

Termination does not automatically cancel obligations already owed to enrolled students or amounts properly due between the parties.

The parties will cooperate reasonably to manage existing course access, outstanding student support, payments and any necessary course withdrawal.

36. Termination by Partners Academy

Partners Academy may terminate an Instructor relationship by giving 30 days' written notice, unless a separate agreement provides otherwise.

We may terminate immediately where justified by serious fraud, unlawful conduct, material security threats, serious misuse of student data or another sufficiently serious contractual breach.

Termination will not remove accrued payment obligations or legal rights that have already arisen.

37. Existing Students Following Termination

Where students have purchased access to a course before the Instructor relationship ends, the parties must cooperate reasonably to protect existing contractual commitments.

Unless otherwise agreed, Partners Academy may continue hosting and providing previously purchased course content for the access period promised to those students, under the licence granted in these Instructor Terms.

Where ongoing teaching, marking or support is required, the parties will agree a suitable transition arrangement or other lawful remedy.

An Instructor must not deliberately disrupt existing students' access or remove necessary materials in breach of agreed obligations.

Partners Academy must not use this provision to create an unrestricted perpetual right to commercially exploit an Instructor's content beyond the agreed licence.

38. Final Payments and Account Reconciliation

Following termination, Partners Academy will calculate outstanding Instructor entitlements in accordance with the applicable commercial schedule.

Any legitimate adjustments for refunds, chargebacks, taxes or other expressly agreed deductions will be identified.

Undisputed amounts will be paid within the agreed payment period.

The parties will cooperate reasonably to resolve outstanding financial disputes.

39. Instructor Warranties

The Instructor represents and warrants that:

They have authority to enter into this agreement.
Information supplied during onboarding is accurate in all material respects.
They own or have the necessary rights to submitted materials.
Course descriptions and material claims are not knowingly misleading.
They will comply with applicable laws and advertising standards.
They will handle student information lawfully.
They will not knowingly introduce malicious code or unlawful content.
They will perform agreed teaching services with reasonable care and skill.

40. Responsibility and Indemnification

Each party remains responsible for its own acts, omissions, contractual obligations and legal duties.

Subject to the limitations in this agreement, the Instructor agrees to indemnify KAI Holdings Ltd against reasonable, properly evidenced losses, liabilities, damages and external legal costs arising from third-party claims to the extent caused by:

The Instructor's infringement of third-party intellectual property rights.
The Instructor's unlawful use or disclosure of personal information.
Fraud or deliberate misconduct by the Instructor.
Materially false representations made by the Instructor in breach of these terms.

This indemnity does not apply to the extent that a loss is caused by KAI Holdings Ltd's own negligence, unlawful conduct, breach of contract or unauthorised modification of the Instructor's materials.

The indemnified party must provide reasonably prompt notice of a claim, cooperate in its defence and take reasonable steps to mitigate losses.

No settlement imposing an admission or non-monetary obligation on the other party may be agreed on that party's behalf without its written consent.

41. Limitation of Liability

Neither party excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

Subject to the preceding paragraph and any separately agreed liability provisions, neither party will be liable to the other for indirect or consequential losses that were not reasonably foreseeable when the agreement was made.

Any monetary liability cap, and any exceptions applying to intellectual property infringement, confidentiality, data protection or deliberate misconduct, must be expressly stated in the applicable Instructor Commercial Schedule or separately signed agreement.

Nothing in these Instructor Terms removes any statutory rights or obligations owed to students or other consumers.

42. No Guarantee of Earnings

Partners Academy does not guarantee any minimum number of enrolments, course sales, students, promotional impressions or Instructor earnings.

Actual earnings may depend on course quality, price, demand, marketing activity, competition, customer preferences and other factors outside either party's control.

Any forecasts or illustrations are not guarantees unless expressly agreed as binding contractual commitments.

43. Non-Exclusivity

Unless otherwise agreed in writing, the Instructor relationship is non-exclusive.

Instructors may create and sell their own lawful educational materials elsewhere, subject to intellectual property rights, confidentiality obligations and any specific commitments made under this agreement.

Partners Academy may engage other instructors, including instructors teaching similar subjects.

44. Conflicts of Interest

Instructors must disclose material commercial relationships or conflicts of interest that could reasonably affect the impartiality of their educational content or recommendations.

Relevant relationships may include sponsorships, affiliate commissions, ownership interests, employment relationships and payments from businesses discussed in course materials.

Partners Academy may require additional disclosure, editorial separation or other proportionate safeguards.

45. Complaints and Dispute Resolution

If a dispute arises between an Instructor and Partners Academy, the parties agree to make reasonable efforts to resolve it through good-faith discussions.

Complaints should be sent to help@partners.academy.

Where possible, the complaint should identify the relevant course, transaction or contractual issue and the resolution requested.

If the dispute cannot be resolved informally, either party may pursue the legal remedies available to it.

46. Changes to These Instructor Terms

Partners Academy may update these Instructor Terms where reasonably necessary to reflect legal requirements, security concerns, changes in platform functionality or legitimate operational needs.

We will provide reasonable advance notice of material changes, except where immediate changes are necessary for legal or security reasons.

Changes to agreed revenue shares, payment schedules, exclusivity obligations or other material commercial terms will require the agreement or lawful contractual process applicable to those terms.

We will not retrospectively alter amounts already earned without a lawful basis.

47. Notices

Formal notices under these Instructor Terms may be sent by email to the addresses designated by the parties, unless a separately signed agreement requires another method.

Instructors must keep their contact details current.

Notices to Partners Academy should be sent to help@partners.academy.

48. General Provisions

If any provision of these Instructor Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

A failure or delay in enforcing a contractual right does not automatically waive that right.

Neither party may transfer this agreement in a manner that materially prejudices the other party's rights without an appropriate contractual or legal basis.

Neither party is responsible for delay caused by events genuinely outside its reasonable control, except to the extent applicable law or the relevant agreement provides otherwise.

Nothing in this agreement restricts lawful disclosures to regulators, law enforcement agencies or other authorities.
